Most LLCs and corporations in Illinois will need to amend their Articles of Organization/Incorporation at some point. You need to file an amendment if you want to change your business name, principal office address, or add or remove an LLC manager, among other changes.

When Do You Need to Amend Articles in Illinois?

The business information included in Articles of Organization or Articles of Incorporation goes on the public record, so Illinois LLCs and corporations need to file paperwork with the Secretary of State if any of this information changes. Here’s the information you can change with an amendment:

How to File LLC and Corporation Articles of Amendment

Only name-change amendments can be filed online in Illinois. Other types of amendments need to be filed by mail or in person. Here’s how to file:

Filing Fees

  • For LLC amendments (online or paper form) and corporation amendments (online only): $50.
  • For corporation amendments (paper form): $150.

Expedited filing is available for $100 more (online and in person filings only).

What happens if I don’t file Articles of Amendment?

Information like your business name, principal address, and LLC managers is part of the public record, and you’re required to file an amendment if this information changes. If you don’t, you won’t be able to get an Illinois Certificate of Good Standing, which you may need to get a business loan or register to do business in another state.

Articles of Amendment vs. Statement of Correction

If you only need to correct a simple error on your Articles of Organization/Incorporation, such as a spelling mistake, you can submit a Statement of Correction instead of Articles of Amendment. Filing a Statement of Correction is generally cheaper than filing an amendment ($25 for LLCs, $50 for corporations).

Articles of Amendment vs. Restated Articles

LLCs in Illinois have the option to file Restated Articles of Organization instead of Articles of Amendment. LLCs that have already made several amendments might choose to restate their Articles in order to have all the changes listed in a single document. You can file Restated Articles of Organization with the Secretary of State by mail or in person.

For corporations, the paper form for Articles of Amendment and Restated Articles of Incorporation is the same: Articles of Amendment Restated Articles of Incorporation.

The filing fee for both LLCs and corporations is $150.

LLCs: $50
Corporations: $50 online (name changes only), $150 via paper form

Expedited filings: 24 hours (excluding weekends and holidays)
Mailed filings: Up to 4 weeks (plus mail time)

In Illinois, only a name-change amendment can be filed online. If you’re amending anything other than your business name, you’ll need to file by mail or in person.
